These terms cover your use of ascndx.ai. They are an agreement between you and Ascendant AI LLC, a Texas limited liability company. Using the site means you accept them. If you do not, please do not use the site.
01What this site is
This site describes our engineering, manufacturing, software and product work. It is marketing material. Nothing on it is an offer to sell, a quotation, a specification you can rely on, or advice for your situation. Where you order something, the Terms of Sale set out how that order becomes a contract. For project work, a separate signed agreement governs and the Terms of Sale fill its gaps.
02Product information
Products and capabilities shown here are described as they stand today and change as they develop. Specifications, availability, compliance status, prices and lead times are confirmed in writing for your order, not on this page. Any figure shown on a product page is provisional and is not a quotation.
03Our material
The text, images, drawings, video, software and design of this site belong to Ascendant AI LLC or to the people we licensed them from. You may read the site, share links to it, and quote short passages with attribution. You may not copy it wholesale, republish it, or use our name, logo or images to suggest a relationship that does not exist.
04Other companies' names
Names, marks and photographs of other companies appear here to describe work our team has done or coverage that has been published. They belong to their owners. Their appearance is not a claim of endorsement by them, or of a current relationship, unless the page says so.
05What you may not do
Do not attempt to break, overload, scrape at scale, or gain unauthorized access to this site or anything connected to it. Do not use it to send anything unlawful, misleading or harmful, and do not use it to collect personal information about other people.
06Anything you send us
If you send us a message, a file or a specification through this site, you confirm you are entitled to send it. Do not send us confidential information before we have a confidentiality agreement in place, and do not send us anything controlled for export unless we have agreed in writing how to handle it. We may use ordinary business information you send us to respond to you and to run our business, as set out in the Privacy Policy.
07Ideas and feedback
This section is about ideas, suggestions, feedback and comments. It does not apply to your personal information, which is covered by the Privacy Policy, and it does not apply to anything covered by a confidentiality agreement or to a specification you give us to build to under an order. We work on similar problems for many customers and may already be working on something like the idea you send. So an idea sent to us outside those exceptions is sent on a non-confidential basis: you give us a free, non-exclusive, worldwide, perpetual and irrevocable right to use, copy, adapt and build on it, and to pass it to the suppliers who work with us, we owe you nothing for it, and we are not obliged to keep it secret or to return it. You keep whatever you owned before, and that license still applies to what you sent.
08Links to other sites
Where we link to another company's site, we do not control it and are not responsible for what it says or does. The link is not an endorsement.
09Availability
We do not promise the site will be available without interruption or free of errors, and we may change or withdraw any part of it at any time.
10No warranty on this site
The site and its content are provided as they are. To the fullest extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement in respect of the site itself. This section is about the site. Warranties on products we sell are set out in the Terms of Sale and in your order.
11Limit of liability
To the fullest extent the law allows, Ascendant AI LLC is not liable for indirect, incidental, special or consequential loss arising from your use of this site, including lost profits or lost data. Nothing here limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud.
12Export and sanctions
Our products and technical information may be subject to United States export control and sanctions law. You may not use this site, or anything obtained through it, in breach of those laws, and you confirm you are not a party any of them prohibit us from dealing with.
13Changes to these terms
We may update these terms. The date at the top of this page is the date of the current version, and using the site after a change means you accept it.
14Governing law
These terms are governed by the laws of the State of Texas, without regard to conflict of laws rules. The courts of Travis County, Texas have exclusive jurisdiction over disputes arising from them.
15General
If a court finds part of these terms unenforceable, the rest continues to apply and that part is limited only as far as it must be. These terms, with the Privacy Policy and, for anything you buy, the Terms of Sale, are the whole agreement about your use of this site. You may not transfer your rights under them; we may transfer ours to a company that takes over this business. If we do not enforce something straight away, we have not given it up. The sections headed Our material, Ideas and feedback, No warranty on this site, Limit of liability, Export and sanctions, and Governing law continue to apply after you stop using the site.
